Wajib Daftar Perusahaan

A.            Dasar Hukum

        Wajib daftar perusahaan dilakukan berdasarkan Undang-Undang No. 3 Tahun 1982. Pendaftaran perusahaan ini penting bagi pemerintah guna melakukan pembinaan, pengarahan, pengawasan dan menciptakan iklim dunia usaha yang sehat. Selain itu wajib daftar perusahaan ini memudahkan untuk sewaktu-waktu dapat mengikuti secara seksama keadaan perkembangan sebenarnya dari dunia usaha di wilayah Negara Republik Indonesia secara menyeluruh, termasuk tentang perusahaan asing.

      Daftar usaha untuk dunia bisnis sangat ada manfaatnya. Selain untuk menghindari tindakan sesama pengusaha yang tidak jujur, daftar perusahaan bermanfaat untuk menciptakan keterbukaan antar perusahaan, memudahkan dalam mencari mitra bisnis, dan untuk menganilisis investasi yang jelas dan tepat, serta untuk meningkatkan kepercayaan masyarakat luas. Perusahaan yang tidak terdaftar biasanya membuat masyarakat waspada akan produk atau jasa yang dihasilkan. Contohnya saja perusahaan Unilever yang telah mendaftarkan perusahaannya. Produk yang dihasilkan oleh perusahaan ini sangat dipercaya masyarakat, karena dengan telah terdaftar nama perusahaannya, maka telah terjamin keamanan dan tingkat kepuasan produknya.

Tujuan Undang-Undang tentang wajib daftar perusahaan adalah memberikan perlindungan kepada perusahaan-perusahaan yang menjalankan usahanya secara jujur dan terbuka, serta pembinaan kepada dunia usaha dan perusahaan, khususnya golongan ekonomi lemah.

B.             Ketentuan Wajib Daftar Perusahaan.

1.      Daftar Perusahaan.

Daftar catatan resmi yang diadakan berdasarkan ketentuan undang-undang dan atau peraturan-peraturan pelaksanaannya, dan memuat hal-hal yang wajib didaftarkan oleh setiap perusahaan serta disahkan oleh pejabat yang berwenang dari kantor pendaftaran perusahaan.

2.      Perusahaan.

Perusahaan dalam hal ini adalah, bentu usaha yang didirikan besifat tetap dan terus menerus, menjalankan usahanya dan berkedudukan di Negara Kesatuan Republik Indonesia, dengan tujuan untuk memperoleh keuntungan dan laba.

3.      Usaha.

Setiap tindakan, perbuatan atau kegiatan apapun dalam bidang perekonomian, yang dilakukan oleh setiap pengusaha untuk tujuan memperoleh keuntungan dan atau laba.

4.      Menteri.

Menteri yang bertanggung jawab dalam bidang perdagangan. Dengan adanya menteri yang memegang, maka tidak ada perusahaan yang terdaftar yang berlaku sebagai pemimpin atau pemberi aturan.

C.            Sifat dan Tujuan Wajib Daftar Perusahaan.

1.      Tujuan

Mencatat bahan-bahan keterangan yang dibuat secara benar dari suatu perusahaan dan merupakan sumber informasi resmi untuk semua pihak yang berkepentingan mengenai identitas, data, serta keterangan lainnya tentang perusahaan dalam rangka menjamin kepastian berusaha.

2.      Sifat

Daftar perusahaan bersifat terbuka untuk semua pihak

Sifat terbuka dalam artian, daftar perusahaan itu dapat dipergunakan oleh pihak ketiga sebagai sumber informasi.

D.            Kewajiban Pendaftaran.

Setiap perusahaan wajib didaftarkan dalam daftar perusahaan, Pendaftaran wajib didaftarkan oleh pemiliknya atau pengurus perusahaan yang bersangkutan atau dapat diwakilkan kepada orang lain dengan memberikan surat kuasa yang sah. Jika perusahaan dimiliki oleh beberapa orang, maka pendaftaran boleh dilakkan oleh salah seorang dari pemilik perusahaan tersebut.

Bentuk badan usaha yang masuk dalam wajib daftar perusahaan:

1.      Badan hokum

2.      Persekutuan

3.      Perorangan

4.      Perum

5.      Perusahaan Daerah, perusahaan perwakilan asing

Badan Usaha Yang Tidak Perlu Menjadi Wajib Daftar

1.      Setiap perusahaan Negara berbentuk peusahaan-perusahaan yang tidak bertujuan memperoleh keuntungan dan atau laba.

2.      Setiap perusahaan kecil perorangan yang dijalankan oleh sendiri atau hanya memperkerjakan anggota keluarga terdekat serta tidak memerlukan izin usaha dan tidak merupakan badan hukum atu suatu persekutuan. Perusahaan kecil perorangan yang melakukan kegiatan dan atau memperoleh keuntungan yang benar-benar hanya sekedar untuk mmenuhi keperluan nafkah sehari-hari. Anggota terdekat disini adalh termasuk ipar dan menantu.

3.      Usaha diluar bidang ekonomiyang tidak bertujuan mencari profit: Pendidikan formal, pendidikan non formal, rumah sakit.

4.      Yayasan

E.             Cara dan Tempat serta Waktu Pembayaran.

Pendaftaran dilakukan dengan cara mengisi formulir pendaftaran yang ditetapkan oleh menteri pada kantor tempat pendaftaran. Pendaftaran dilakukan di Kantor departemen perindustrian dan Perdagangan atau Dinas yang membidangi Perdagangan Kabupaten/Kota selaku kantor pendaftaran Perusahaan (KPP). Caranya:

·         Mengisi formulir pendaftaran yang disediakan

·         Membayar biaya administrasi

·   Pendaftaran Perusahan wajib dilakukan oelh pemilik/pengurus/penanggung jawab atau kuas perusahaan.

Pendaftaran wajib dilakukan  dalam  jangka waktu 3 bulan setelah perusahaan mulai menjalankan usahanya. Suatu perusahaan dianggap mulai menjalankan usahanya pada saat menerima izin usaha dari instansi teknis yang berwenang.

F.             Hal- Hal yang Didaftarkan.

a.       Pengenalan tempat

b.      Data umum perusahaan

c.       Legalitas perusahaan

d.      Data pemegang saham

e.       Data kegiatan perusahaan

Apabila Perusahaan Telah Terdaftar?

Kepada perusahaan yang telah disahkan pendaftarannya dalam daftar perusahaan diberikan tanda daftar perusahan yang berlaku untuk jangka waktu 5 tahun sejak tanggal dikeluarkannya dan wajib dipebaharui sekurang-kurangnya 3 bulan sebelum tanggal berlakuya berakhir.

1.  Apabila tanda daftar perusahaan hilang, pengusaha berkewajiban untuk mengajukan permintaan tertulis kepada kantor pendaftaran perusahaan untuk memperolehpenggantinya dalam waktu selambat-lambatnya 3 bulan setelah kehilangan itu.

2.   Apabila ada perubahan atas hal yang didaftarkan, wajib dilaporkan pada kantor tempat pendaftaran perusahaan dengan menyebutkan alas an perubahan tersebut disertai tanggal perubahan tersebut dalm waktu 3 bulan setelah terjadi perubahan itu.

3.  Apabila ada pengalihan pemilikan atau pengurusan atsa perusahaan atau kantor cabang, kantor pembantu, agen dan perwakilannya, pemilik atau pengurus lama berkewajiban untuk melaporkan.

4.      Apabila terjadi pembubaran perusahaan atau kantor cabang, kantor pembantu atau perwakilannya, pemilik atau pengurus maupun likuidaror berkewjiban untuk melaporkanya.
